Your Acceptance of the Terms of Use

We welcome you to bisonoffice.com ("BisonOffice," "we" or "us"), a brand of Bison Commerce LLC. The following terms and conditions ("Terms of Use"), will govern your use of our website and all affiliated Bison Commerce websites (“Websites”) including all of the content, functionality and services offered on or through the Websites. By accessing or using the Websites you agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://www.bisonoffice.com/brand/info/PrivacyPolicy, which is incorporated herein by reference. You must not access or use the Websites if you do not want to agree to these Terms of Use or the Privacy Policy.

Accessing our Websites

BisonOffice reserves the right to withdraw or change the Websites, services, or goods offered in our sole discretion without notice. We will not be liable to you if all or any part of the Websites is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Websites, or the entire Websites, to users, including registered users.

To access the Websites or some of the resources they offer, you may be asked to provide certain registration details or other information. It is a condition of your use of the Websites that all the information you provide on the Websites is correct, current and complete. You agree that all information you provide to register with the Websites, including but not limited to through the use of any interactive features on the Websites, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

Account Security

If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Websites or portions of it using your user name, password or other security information. You must notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. BisonOffice has the right to disable any user name, password or other identifier, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

Restrictions on Your Use of the Websites

You may use the Websites only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Websites:

To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter" or "spam" or any other similar solicitation.
Do anything that violates any applicable federal, state, local or international law or regulation (including any laws about the export of data or software to and from the US or other countries).
Use the Websites in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Websites, including their ability to engage in real time activities through the Websites.
Use AI, a robot, spider or other automatic device, process or means to access the Websites for any purpose, including monitoring or copying any of the material on the Websites.
Introduce any viruses, trojan horses, worms, or other code or material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Websites, the servers on which the Websites are stored, or any server, computer or database connected to the Websites.
Attack the Websites via a denial-of-service attack or a distributed denial-of-service attack.
To impersonate or attempt to impersonate BisonOffice, a BisonOffice employee, another user or any other person or entity.
For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.
To engage in any other conduct that may harm BisonOffice or users of the Websites or expose them to liability.

Disclaimer of Accuracy of Information

We are not responsible if information made available on the Websites is not accurate, complete or current. The material on the Websites, whether images, text, or other information is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources. Any reliance on the material on the Websites is at your own risk. We undertake no obligation to update, amend or clarify information on the Websites, including pricing information, availability, product dimensions, product materials or color. While we make efforts to display as accurately as possible the colors and images of our products that appear on our Websites. The display on your device may depict a product differently than it actually is. Therefore, we do not warrant that the color, texture, quality, size, materials, or dimensions of any products will meet your expectations. All returns or exchanges are subject to our Return & Exchange Policy.

The Websites may include content created or provided by third parties, including materials provided by third-party licensors, syndicators, aggregators and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by BisonOffice, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of BisonOffice. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

Changes to the Websites

We reserve the right to change or update the content on the Websites from time to time, but the content is not necessarily complete or up-to-date. Any of the material on the Websites may be out of date at any given time, and we are under no obligation to update such material. You agree that it is your responsibility to monitor changes to our site, including changes to the Terms of Use and Privacy Policy. Your continued use of the Websites following the posting of revised Terms of Use means that you accept and agree to the changes.

Online Purchases and Other Terms and Conditions

Except for persons with disabilities, who may place orders by phone, all purchasing transactions are performed on a webpage hosted by a secure site operated by a third party company. All purchases through our site or other transactions for the sale of goods or services formed through the Websites or as a result of visits made by you are governed by the Terms of Use and Privacy Policy, as well as the following terms, in addition to the policies applicable to the checkout process.

A. No Purchases by Minors. You represent that you are at least the age of majority in your state or commonwealth of residence, or that you are the age of majority in your state or commonwealth of residence. There are no exceptions to this policy.

B. Conditions of Sale. All prices displayed on this website are quoted in U.S. dollars and are valid and effective only in the United States. When a strike-through price is displayed on the Websites, such as $19.99, it is the manufacturer’s or supplier’s suggested retail price. We reserve the right without prior notice to discontinue or change prices, quantities, and specifications of any product or services offered on the Website without incurring any obligations (although changes to specifications and pricing will not affect orders placed prior to the change). Products displayed on the Websites are available while supplies last. Furthermore, not all products and services are available in all areas. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. We may also cancel any sale and/or issue a return authorization for merchandise that is unexpectedly out of stock, does not conform to specifications, or that was advertised or shipped in error. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. We do not accept orders from the EU or from EU residents.

C. Taxes. Sales tax may be applied to your order based on the state or commonwealth you use as the shipping address. In this case, the order total that you see at checkout will be adjusted to add in the tax amount appropriate for your location.

D. Order Changes and Cancellations. Once an order is placed, it may not be canceled or changed. The shipping address cannot be changed or modified once an order is placed. Please double-check the details of your order information before finalizing the purchase.

E. Shipping and Handling Charges. The shipping fee will be calculated at checkout and prior to placing the order. Shipping rates and policies may change at the discretion of BisonOffice.

Merchandise that is shipped using a freight carrier (such as furniture, boards, and other oversized or heavy goods) are “curbside” delivery only, meaning that the carrier delivers items to the curb. You will be responsible for moving your furniture into your home or business. If your business has a dock access to accommodate a trailer, the delivery will be made to the dock.

F. Shipping Territory. BisonOffice ships only within the contiguous United States (48 states). We do not ship to Alaska, Hawaii, Puerto Rico, PO Boxes, APO or FPO addresses, or internationally.

G. Estimated Shipping Time. Estimated delivery time of each item is provided in the product description or shopping cart. Please note transit times generally do not include weekends or holidays and deliveries usually occur on business days. Freight items will generally be delivered within the period listed in item’s description. You will be contacted by the Common Carrier to arrange a date and/or window of time for delivery (please make sure the phone number you specified in order is correct and you can answer it during business hours). If you have not received your order within promised delivery time, please contact us.

H. Refused or Mis-delivered Shipments. If, for any reason, you refuse delivery of a package from us, or if it is undeliverable or you provided inaccurate address and delivery details (e.g. suite/apt number, phone number with no answer, or any other relevant information necessary to deliver successfully), your order will be returned to us entirely at your cost. You will not be eligible for a full refund. BisonOffice will deduct (a) actual shipping charges, (b) return shipping charges, (c) a 15% restocking fee, and (d) any damage or diminution in value caused by in-transit shipping to/from your location.

I. Merchandise Damaged During Shipment. If a shipment arrives at your door with apparent shipping damage, please refuse the delivery. If you have already accepted delivery and then find shipping damage, please contact BisonOffice immediately. Save all packaging material and paperwork. If you attempt to return the merchandise to BisonOffice without prior authorization, you will jeopardize our chances of making a claim, and you may not receive credit for the return.

J. BisonOffice’s Limited Warranty. BisonOffice offers a 30-day limited warranty that the products it sells will be free of defects. Some products might also have a manufacturer’s warranty. The warranty period and conditions vary depending on the manufacturer and the product. If you experience problems with an item purchased from us within the 30-day return window, please reach out to us directly for assistance. Otherwise, please consult the manufacturer’s warranty, if any.

K. Return Limits & Conditions. Customer’s remorse returns. You have thirty (30) days from the date of delivery to return merchandise, subject to BisonOffice’s express authorization and to the following conditions:

You must contact us within seven (7) days of delivery to explain the reason for the return, provide evidence, and to obtain a Return Merchandise Authorization number (“RMA”). No returns will be accepted without a valid RMA.
Unless we agree otherwise, the merchandise must be in its original condition, as a complete set (exactly as purchased), not installed or assembled, in the original, unopened and undamaged packaging with cellophane, seals and barcodes untouched. We reserve the right to refuse returns if, upon inspection, any returned item or packaging does not meet all eligibility criteria.
Unless we agree otherwise, a 15% restocking fee will apply.
Unless we agree otherwise, you will also be responsible for the full cost of returning the item to the address provided by us.
Items shipped to wrong addresses or without an RMA number will not be considered for a refund and will be refused.

How to Request Authorization to Return Merchandise

To make a return request, please contact us and provide the following information:

Your name and email address;
Order number;
Item(s) and quantity you wish to return;
The reason for return.

If your request is approved, we will email you return instructions, including an RMA number and return address within 24 business hours of receiving your request. Write the RMA number clearly on the outside of the shipping label. Do not write on the product packaging.

To process your refund we require a return tracking number as proof of delivery.

We are not responsible for loss or theft before the merchandise is in our possession. For valuable items, we suggest that you insure them to cover replacement costs in case the package is lost in transit. Please allow up to 14 business days for our warehouse to process your returned merchandise.

L. Return Limits & Conditions. Return of damaged, defective, incorrect items. If you receive a defective, damaged, or incorrect product, we offer free warranty replacement parts and full unit replacements (if parts are not available). However, we will accept a return of the merchandise and issue a refund, subject to these conditions:

If order is damaged, defective, incomplete, or wrong you must contact us within seven (7) days of delivery to explain the reason for the return and provide evidence:
- Provide photos or videos depicting the issue(s),
- Describe the problem (include part numbers if possible),
- We will ship you replacement parts free of charge. If we cannot replace the parts, our carrier will pick up the original package and we will send you a full replacement.
If replacement options are refused by you, we will issue a Return Merchandise Authorization number (“RMA”). No returns will be accepted without a valid RMA.
Unless we agree otherwise, the merchandise must be in its original package, as a complete set (exactly as purchased. We reserve the right to refuse returns if, upon inspection, any returned item or packaging does not meet all eligibility criteria.
Unless we agree otherwise, a 15% restocking fee will apply.
Unless we agree otherwise, you will also be responsible for the full cost of returning the item to the address provided by us.
To process your refund, we require a return tracking number as proof of delivery.

IMPORTANT: You must retain the original packaging until you have inspected the contents! Original packaging is needed in case the item is damaged/defective/incorrect.

M. Refunds. Allow 14 business days for refunds. Refunds will be issued using the same method of payment you used to purchase the item(s). For example, if you used credit card A, refund will only be issued to credit card A. We cannot refund to credit card B, send a check, or issue credit to a different account.

N. Non-Returnable Merchandise. BisonOffice does not accept returns of the following items:

Dated products such as: calendars, appointment books and organizers, desk and desk pad calendars, and wall calendars and planners;
Personalized Items;
All toner cartridges and drum units;
Hygiene and consumable products (food, beverages, cleaning supplies, pharmaceuticals and paper);
Computer software;
Opened box computers (desktop, laptop, tablets);
Some electronic items;
Items Marked Non-Returnable (clearly indicated on the sale page before placing your order).

These products will only be accepted in the event of clear evidence of a manufacturer's defect or material error on our part.

O. No Responsibility for Unauthorized Returned Merchandise. Under no circumstances will BisonOffice be responsible to pay for shipping costs or freight bills for merchandise being returned by a customer without prior written authorization. Delivery will be refused.

Intellectual Property Rights

The Websites and their entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by BisonOffice, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Websites for your personal, non-commercial use only. You are not allowed to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Websites. Additionally, you must not: (a) use any photographs, video or audio sequences or any graphics separately from the accompanying text, (b) delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from this site, (c) access or use for any commercial purposes any part of the Websites or any services or materials available through the Websites, (d) if you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Websites in breach of the Terms of Use, your right to use the Websites will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. All rights not expressly granted are reserved by BisonOffice.

Report Copyright Infringement

If you believe that anything on the Websites violates your copyright, please contact us at termsofuse@BisonCommerce.com and provide us with the following information:

Identify specifically the copyrighted work you believe to have been infringed or, if the claim involves multiple works, a representative list of such works.
Your full name, address, telephone number and e-mail address.
You must state that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, its agent or the law.
A statement that the information in the written notice is accurate.
A statement, under penalty of perjury, that you are the copyright owner or are authorized to act as an agent of the copyright owner.

We will review and process notifications that comply with the foregoing requirements within a reasonable time. BisonOffice is under no obligation to respond to notifications or identify defects in notifications.

Trademarks

Except as otherwise noted, the BisonOffice name, logo and all other trademarks, logos, service marks, product and service names, designs, slogans and trade names displayed on this site are registered and unregistered trademarks and trade names (“Trademarks”) that are owned by or licensed to BisonOffice, its subsidiaries and affiliates. You may not use our Trademarks without the prior written permission of BisonOffice. Where specifically indicated, the other names, logos, product and service names, designs and slogans on the Websites are the trademarks of their respective owners.

User Contributions

Our Websites may contain product reviews, ratings, message boards, chat assistants, personal web pages or profiles, forums, bulletin boards, and mechanisms that permit you to submit pictures, text, and other content you have created that allow users to post, submit, publish, display or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Website. Any User Contribution you send to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Websites, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors and assigns the right to use, reproduce, modify, perform, display, distribute and otherwise disclose to third parties any such material for any purpose.

By submitting a User Contribution, you warrant that: (a) you own all of the rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and (b) all of your User Contributions comply with these Terms of Use.

We are not responsible, or liable to any third party, for the content or accuracy of any User Contributions posted by you or any other user of the Website. All User Contributions must comply with the Content Standards set out herein.

Content Standards

These Content Standards shall apply to any and all User Contributions and use of Interactive Services. User Contributions must comply with all applicable federal, state, local and international laws and regulations. In general, User Contributions must not:

Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.
Involve commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter or advertising.
Infringe any patent, trademark, trade secret, copyright or other intellectual property or other rights of any other person.

Give the impression that they come from or are endorsed by BisonOffice or any other person or entity.

Enforcement, Monitoring & Termination

BisonOffice has the right to:

Terminate or suspend your access to all or part of the Websites for any or no reason, including without limitation, any violation of these Terms of Use.
Remove or refuse to post any User Contributions for any or no reason at our sole discretion.
Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion.
Disclose your identity or identifying information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.
We will cooperate with any law enforcement authorities or lawful court order to disclose the identity or other information of anyone posting any materials on or through the Website

BisonOffice undertakes no duty to conduct a detailed review of any User Contribution material before it is posted on the Website. We cannot ensure prompt removal of objectionable material after it has been posted. We assume no liability for any User Contributions.

Linking to the Websites and Social Media Features

To request permission to link to one of the Websites, please send an email to: help@BisonCommerce.com. Please include your name, company name, and website url. We may disable all or any social media features and any links at any time without notice at our discretion. The Websites may provide certain social media features that enable you to, among other things:

Cause limited portions of content on the Websites to be displayed or appear to be displayed on your own or certain third-party websites.

Any links to this website must clearly and accurately identify BisonOffice and the correct URL. The appearance, position and other aspects of the link must not be such as to damage or dilute the goodwill associated with our name and trademarks or create the false appearance that we are associated with or sponsor the linking website. We reserve the right to revoke our consent to any link at any time at our sole discretion.

The Websites may contain links to other sites on the Internet that are owned and operated by third-party vendors and other third parties. We are providing these links solely as a convenience. The appearance of a link does not imply our endorsement, nor are we responsible for the content or operation of any linked site. Your access to linked sites is at your own risk. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the third-party.

Geographic Restrictions

The owner of the BisonOffice Websites is based in the State of Illinois in the United States. We provide the Websites for use only by persons located in the United States. Specifically, the Websites may not be used or accessed from the EU or by any resident of the EU. We make no claims that the Websites or any of its content is accessible, legal, or appropriate outside of the United States. If you access the Websites from outside the United States, you do so at your own risk.

Disclaimer of Warranties & Limitation of Liability

YOUR USE OF THE WEBSITES AND THE CONTENT PROVIDED ON THE WEBSITES IS AT YOUR OWN RISK. THE WEBSITES AND THE CONTENT PROVIDED ON THE WEBSITES IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Your Agreement to Indemnify Us

You agree to defend, indemnify and hold harmless the BisonOffice Parties from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including actual attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Websites’ content other than as expressly authorized in these Terms of Use, your violation of the rights of a third party, or any negligent acts, omissions or intentional wrongdoing by you.

Binding Arbitration

YOU ARE CONSENTING TO A BINDING ARBITRATION PROVISION AND A CLASS-ACTION AND JURY TRIAL WAIVER. PLEASE READ CAREFULLY.

TO THE FULLEST EXTENT PERMITTED BY LAW, BY USING THE WEBSITES, YOU AGREE THAT IF A DISPUTE ARISES BETWEEN YOU AND THE BISONOFFICE PARTIES REGARDING THESE TERMS OR USE OR THE WEBSITES, BOTH YOU AND THE BISONOFFICE PARTIES SHALL SUBMIT TO BINDING ARBITRATION BEFORE THE AMERICAN ARBITRATION ASSOCIATION. ARBITRATION MUST BE ON AN INDIVIDUAL BASIS. THIS MEANS NEITHER YOU NOR THE BISONOFFICE PARTIES MAY JOIN CLAIMS IN ARBITRATION WITH OR AGAINST OTHER USERS, OR LITIGATE IN COURT OR ARBITRATE ANY CLAIMS AS A REPRESENTATIVE OR MEMBER OF A CLASS. YOU UNDERSTAND THAT BY AGREEING TO ARBITRATION YOU ARE WAIVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE IN COURT, THE RIGHT TO A JURY TRIAL, AND THE RIGHT TO BRING, OR BE PART OF, A CLASS ACTION CASE. RULES FOR THE AMERICAN ARBITRATION ASSOCIATION ARE AVAILABLE AT: https://www.adr.org.

The only exception to the foregoing are lawsuits to enjoin infringement or other misuse of intellectual property rights. You or the BisonOffice Parties may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

Limitation on Time to File Suit or Arbitration

Any action or claim you may have arising out of your use of the Websites, these Terms of Use, or Privacy Policy must be commenced within six (6) months after the cause of action accrues or it is permanently barred.

Governing Law and Jurisdiction

All disputes and matters relating to or arising from the Websites, these Terms of Use or our Privacy Policy shall be governed by and construed in accordance with the laws of the State of Illinois without giving effect to any choice or conflict of law provision or rule.

You waive any and all objections to the exercise of personal jurisdiction over you by such courts and to the venue in such courts.

Waiver and Severability

No waiver by BisonOffice of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of BisonOffice to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect to the maximum extent permitted by law.

Entire Agreement
